1. Key Sections
- Summary
- Quickly understand the company’s business and financial data. If only a very rough understanding is needed, this may be enough for an initial pass.
- Industry Overview
- Whether to read this depends on the situation. If you already understand the industry, it may be less important. For a niche industry, it can still provide a useful overview. Industry information in a prospectus is often prepared by third parties for the transaction and may not be comprehensive.
- History and Corporate Structure
- The original note suggests first looking at the final ownership-structure chart to understand the shareholders, then reading backward for details if especially interested.
- Business
- Naturally a key section. It can contain a lot of boilerplate, so read selectively; the product/service description deserves close attention when learning the business.
- Financial Information
- This is a key section for institutional investors and contains detailed analysis of company finances. If the goal is only a very rough company overview, the summary’s basic financial data can be read first; for an investment decision, financial information remains important and should not be ignored simply because the investor is an individual.
- Directors, Supervisors and Senior Management
- Short but important. Focus on senior-management backgrounds because people matter greatly to a company.
